1. Acceptance of Terms

By accessing or using Layoff iQ ("Service"), operated by Layoff iQ, Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, BINDING ARBITRATION, AND CLASS ACTION WAIVER PROVISIONS.

2. Description of Service

Layoff iQ provides layoff risk assessments, monitoring, and alerts based on publicly available WARN Act (Worker Adjustment and Retraining Notification Act) data and labor market statistics. Our Service includes:

  • Personalized job risk scores based on your employment profile
  • Access to aggregated WARN Act filing data from state labor departments
  • Email and SMS alerts for relevant layoff notices
  • Industry and labor market trend analysis
  • Job position breakdowns from WARN notice letters
  • Company and industry tracking features

Important: Our Service provides informational insights only. We do not provide legal, financial, employment, or investment advice. Risk scores are statistical estimates based on historical data and cannot predict future events with certainty.

3. Eligibility and Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account
  • Not share your account credentials with any third party

4. Subscription Plans and Billing

4.1 Paid Subscription Plans

Layoff iQ is a paid subscription service. We offer the following plans:

  • Pro Plan: $7.99 per month - includes full access to risk scores, alerts, WARN data, and all standard features
  • Enterprise Plan: Custom pricing for organizations - includes API access, bulk data downloads, dedicated support, and custom integrations

Current pricing and feature details are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Payment Terms

All payments are processed securely through Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for:

  • Providing valid and current payment information
  • Paying all applicable fees and taxes
  • Updating payment information before it expires

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate unless you cancel before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

4.5 Refund Policy

Due to the nature of our digital service, all subscription payments are non-refundable. You may cancel your subscription at any time, and you will retain access to paid features until the end of your current billing period. If you believe you were charged in error, please contact support@layoffiq.com and we will review your case.

5. SMS and Email Communications

By providing your phone number and enabling SMS alerts, you consent to receive text messages from Layoff iQ regarding WARN notices, account verification, and service alerts. SMS alerts are available to subscribers on paid plans (Pro and above).

Message Frequency: 0-5 messages per month (varies based on WARN activity matching your profile)
Message and Data Rates: Standard message and data rates may apply. Check with your carrier for details.
Supported Carriers: Compatible with most major US carriers. Carriers are not liable for delayed or undelivered messages.

You may opt out of SMS communications at any time by:

  • Replying STOP to any message to immediately unsubscribe
  • Removing your phone number in your account settings
  • Contacting support@layoffiq.com

Reply HELP for assistance or contact support@layoffiq.com. Your consent to receive SMS is not a condition of purchase. Your phone number will not be shared with third parties for marketing purposes. See our Privacy Policy for details on how we handle your phone number and SMS data.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
  • Use automated means (bots, scrapers, crawlers) to access the Service without written permission
  • Resell, redistribute, or commercially exploit our data or Service without authorization
  • Impersonate any person, entity, or falsely represent your affiliation
  • Upload or transmit viruses, malware, or other malicious code
  • Harass, abuse, threaten, or harm other users
  • Circumvent any security measures or access controls
  • Use the Service to make employment decisions that discriminate against protected classes
  • Reverse engineer, decompile, or disassemble any part of the Service

Violation of this policy may result in immediate termination of your account without refund.

7. Intellectual Property Rights

The Service, including its design, features, software, algorithms, user interface, graphics, logos, and proprietary content (excluding publicly available government data), is owned by Layoff iQ, Inc. and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

You retain ownership of any content you submit. By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

8. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information.

WARN Act data displayed in our Service is sourced from publicly available government records. We do not guarantee the accuracy, completeness, or timeliness of this data. State labor departments may update or correct records at any time.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF RISK ASSESSMENTS, PREDICTIONS, OR DATA
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE SERVICE

Risk scores and predictions are based on historical data and statistical models. They are estimates only and CANNOT predict future events with certainty. Past layoff patterns do not guarantee future outcomes. You should not rely solely on our Service when making employment, financial, or career decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAYOFF IQ, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • DAMAGES ARISING FROM YOUR RELIANCE ON RISK ASSESSMENTS, PREDICTIONS, OR ANY INFORMATION PROVIDED BY THE SERVICE
  • DAMAGES ARISING FROM EMPLOYMENT DECISIONS, JOB LOSS, OR CAREER CHANGES
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Layoff iQ, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account and all associated data
  • You will not be entitled to any refund of prepaid fees (except as required by law)
  • Sections 7-15 of these Terms shall survive termination

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes not subject to arbitration.

14. Dispute Resolution and Arbitration

This section contains a binding arbitration agreement and class action waiver that affect your legal rights.

14.1 Informal Resolution: Before initiating arbitration, you agree to first contact us at legal@layoffiq.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

14.3 Class Action Waiver: YOU AND LAYOFF IQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

14.4 Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@layoffiq.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Layoff iQ regarding the Service.

15.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
